1. Introduction
Welcome to Nimbugrid.
These Terms and Conditions ("Terms") govern your access to and use of the Nimbugrid website, software, and related services.
Nimbugrid is an online software-as-a-service (SaaS) platform designed to help freelancers, independent professionals, and small businesses create and manage invoices, track expenses, manage billing, and perform other supported business administration tasks.

By registering an account, starting a free trial, purchasing a subscription, or using our services, you agree to these Terms. If you do not agree, you must not use the service.
2. Eligibility and Business Accounts
You must be legally capable of entering into a binding agreement under applicable law to use Nimbugrid.
If you register or use Nimbugrid on behalf of a business, you represent that you are authorized to accept these Terms on behalf of that business.
You are responsible for ensuring that your use of Nimbugrid complies with the laws and regulations applicable to your business, industry, and location.
3. Account Registration and Security
Certain features of Nimbugrid require you to create an account.
When registering, you agree to provide accurate, current, and complete information and to keep your account details reasonably up to date.
You are responsible for:

5. Free Trial
Nimbugrid offers a 14-day free trial to eligible users so they can evaluate the platform before purchasing a subscription.
The trial begins when the trial account is activated. The available trial features and any applicable restrictions will be displayed during registration or within the service.
During the trial, you are encouraged to evaluate the platform and determine whether it meets your business requirements.
Unless you explicitly purchase a paid subscription under the terms presented at checkout, the trial does not itself constitute a paid subscription.
If you choose to purchase a paid plan, you agree to the applicable price, billing frequency, and subscription terms displayed before completing the transaction.
We reserve the right to restrict or discontinue trial access in cases of abuse, fraud, or repeated misuse, subject to applicable law.
6. Subscriptions, Payments, and Billing
Certain Nimbugrid features require a paid subscription.
Subscription prices, billing periods, applicable taxes, and renewal terms will be displayed during the purchase process.
By purchasing a subscription, you authorize the applicable payment provider to process the payment using your selected payment method.
Where recurring billing applies, your subscription may renew automatically according to the terms disclosed at checkout and the authorization you provide, unless you cancel before the applicable renewal date.
You are responsible for reviewing your selected subscription plan, price, billing frequency, and renewal date before confirming a purchase.
If a payment fails, we may notify you and request that you update your payment information. We may restrict paid features or suspend access for unpaid subscriptions after reasonable notice where appropriate and permitted by law.
You remain responsible for applicable charges incurred before cancellation or termination.
7. Cancellation and Refunds

Subscriptions may be cancelled using the available account or billing management options, or by contacting our support team if self-service cancellation is unavailable.
Unless otherwise stated or required by applicable law, cancellation stops future renewals but does not automatically refund payments already made. Access to paid features will generally continue until the end of the current paid subscription period.
Refund requests will be assessed in accordance with our Refund and Cancellation Policy and applicable law.
8. Acceptable Use
You agree to use Nimbugrid only for lawful purposes and in accordance with these Terms.
You must not:
Use the service for fraud, deception, money laundering, or other unlawful activities.
Create or distribute invoices or other documents for fraudulent or misleading purposes.
Upload malicious software, harmful code, or content intended to compromise the service.
Attempt to gain unauthorized access to accounts, servers, databases, or other systems.
Interfere with the availability, security, or proper operation of the platform.
Reverse engineer, decompile, or attempt to extract source code from the service except to the extent such restriction is prohibited by applicable law.
Copy, resell, sublicense, or commercially exploit the service without our written authorization.
Use automated methods to access or collect data from the platform in an unauthorized manner.
Violate the intellectual property, privacy, or other legal rights of any person.
We may investigate suspected violations and take appropriate action, including restricting features, suspending accounts, or terminating access where justified and permitted by law.
9. Your Business Data and Content
You retain ownership of the business information and content you submit to Nimbugrid, subject to any rights you grant us under these Terms.
This may include customer details, invoice information, expense records, business documents, and other information you enter or upload.
You grant Nimbugrid a limited, non-exclusive right to host, store, process, reproduce, and transmit your content as reasonably necessary to operate, secure, maintain, and provide the service to you.
You represent that you have the necessary rights and permissions to submit and process the content you provide through Nimbugrid.
You are responsible for the accuracy, legality, and appropriateness of your content, including the personal and financial information you enter into invoices and customer records.
You should maintain appropriate copies of important business records and exported documents. We recommend periodically exporting and backing up critical information where those features are available.

10. Privacy and Data Protection
We process information associated with your account and use of Nimbugrid as described in our Privacy Policy and in accordance with applicable data protection laws.
You must ensure that you have an appropriate legal basis and any necessary permissions to submit personal information relating to your customers, employees, suppliers, or other individuals.
You must not use Nimbugrid to unlawfully collect, disclose, or process another person's personal information.

11. Invoices, Tax Calculations, and Business Compliance
Nimbugrid is a software tool intended to assist with invoicing and business administration. It is not a substitute for professional accounting, taxation, legal, or financial advice.
You are responsible for:
Ensuring that invoices contain accurate information.
Selecting appropriate tax rates and configuring tax settings correctly.
Determining the taxes applicable to your transactions.
Complying with applicable tax, invoicing, recordkeeping, and reporting requirements.
Verifying that generated documents satisfy the requirements applicable to your business.
Ensuring that your business activities comply with applicable laws and regulations.
Although Nimbugrid may provide calculations, templates, or other automated functionality, we do not guarantee that every generated invoice or calculation will be suitable for every jurisdiction or transaction.

12. Intellectual Property Rights
The Nimbugrid website and service, including its software, source code, design, branding, logos, user interface, documentation, and other proprietary materials, are owned by or licensed to the relevant rights holder and are protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable right to access and use the service for your internal business or personal professional purposes during the applicable subscription period.
Except as expressly permitted by us or by applicable law, you must not copy, modify, distribute, sell, sublicense, or create derivative works from our proprietary materials.
Nothing in these Terms transfers ownership of Nimbugrid's intellectual property to you.

15. Suspension and Termination
You may stop using Nimbugrid and cancel your subscription at any time, subject to the applicable subscription and cancellation terms.
We may suspend or terminate access where reasonably necessary if:

Your account is involved in fraud, unlawful activity, or serious misuse.
Your use creates a significant security risk to the service or other users.
Payment remains overdue after appropriate notice, where applicable.
We are legally required to restrict or terminate access.
Where appropriate and practicable, we will provide notice and an opportunity to remedy a breach before taking action, unless immediate action is reasonably necessary for security, legal compliance, fraud prevention, or protection of the service.
Upon termination, your right to access paid features may end. Any treatment of remaining subscription payments will be governed by our Refund and Cancellation Policy and applicable law.
Where technically available and legally permissible, we will provide a reasonable opportunity to export your business data before permanent deletion following termination. This may not be possible where immediate deletion or restriction is legally required or necessary to address a serious security risk.
We may retain certain information where required by law or for legitimate recordkeeping, security, or dispute-resolution purposes, in accordance with our Privacy Policy and applicable law.
16. Disclaimers
To the extent permitted by applicable law, Nimbugrid is provided on an “as available” basis.
We do not warrant that the service will meet every user's individual requirements, operate without interruption, or be compatible with every device, software environment, or third-party service.
We do not guarantee any particular business outcome, increase in revenue, collection of payments, tax treatment, or regulatory acceptance resulting from your use of Nimbugrid.
You remain responsible for reviewing and verifying business records and documents generated through the platform.
Nothing in these Terms excludes any warranty, guarantee, or statutory right that cannot lawfully be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Nimbugrid will not be liable for indirect, incidental, special, or consequential losses arising from the use of the service, including loss of profits, business opportunities, or anticipated savings.
To the extent permitted by law, Nimbugrid will not be responsible for losses caused by inaccurate information supplied by users, unauthorized account access attributable to a user's failure to protect their credentials, or failures of independent third-party services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability that cannot legally be excluded.
Where a limitation of liability is legally permissible, the extent of any liability will be determined in accordance with applicable law and the circumstances of the claim.
18. Indemnity
To the extent permitted by applicable law, you agree to be responsible for losses, claims, and reasonable costs arising directly from your unlawful use of Nimbugrid, your material breach of these Terms, or your infringement of another person's rights.
This provision does not apply to the extent a claim results from our own unlawful conduct, negligence, breach of applicable law, or other circumstances for which responsibility cannot lawfully be transferred to you.

We may update these Terms from time to time to reflect changes in the service, business operations, technology, or applicable legal requirements.

Any dispute arising out of or relating to these Terms or the use of Nimbugrid may be brought before a court or other competent forum having jurisdiction over the dispute under applicable law.
Nothing in these Terms is intended to prevent a customer from exercising any non-waivable right to bring a claim before a court, Consumer Commission, regulator, or other statutory forum that has jurisdiction under applicable law.
We encourage customers to contact us first so that we can attempt to resolve billing, subscription, or service-related concerns promptly and amicably.
21. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Any invalid or unenforceable provision shall be interpreted or limited only to the extent necessary to make it enforceable where legally permissible.
22. Entire Agreement
These Terms, together with the applicable subscription details, Refund and Cancellation Policy, Privacy Policy, and any other terms expressly incorporated into them, constitute the agreement between you and Nimbugrid concerning your use of the service.
If a specific subscription agreement expressly varies a provision of these Terms, the specific agreement will prevail to the extent of the inconsistency, subject to applicable law.
