Welcome to Nimbugrid. These Terms of Service govern your registration for and use of the Nimbugrid platform, operated by Innofizz Technologies, Jaigaon, District Alipurduar, West Bengal – 736182, India.

By creating an account or using Nimbugrid, you agree to these Terms. If you do not agree, please do not register for or use the service.

1. About Nimbugrid

Nimbugrid is an online invoicing and business management platform designed for freelancers, independent professionals, consultants, and small businesses.

Depending on your subscription plan, our services may include invoice creation, customer management, estimates, expense tracking, recurring invoices, tax settings, billing management, reports, and other business-related tools.

2. Account Registration

To use Nimbugrid, you must provide accurate and complete registration information and keep your account details up to date.

You must be legally eligible to enter into a binding agreement under the laws applicable to you. If you register on behalf of a business, you confirm that you have authority to do so.

You are responsible for maintaining the confidentiality of your login credentials and for taking reasonable steps to protect your account. Please notify us promptly if you suspect unauthorized access.

3. Free Trial

Nimbugrid offers a 14-day free trial to eligible users so they can evaluate the service before purchasing a paid subscription.

The trial begins when your account is activated. During this period, you can explore the features available under the trial plan and decide whether Nimbugrid meets your business needs.

Starting a free trial does not, by itself, authorize a paid subscription charge. Any subsequent paid subscription or recurring payment will be subject to the terms disclosed during the purchase process and the authorization you provide.

4. Subscriptions and Payments

Some features require a paid subscription. Available plans, prices, billing periods, and applicable taxes will be displayed before you complete a purchase.

Where automatic renewal applies, your subscription will renew according to the billing terms disclosed at checkout unless you cancel before the applicable renewal date.

You are responsible for reviewing your selected plan and billing details before confirming a purchase.

5. Cancellation and Refunds

You may cancel your subscription in accordance with our subscription cancellation procedures.

Paid subscription purchases are generally non-refundable, including where you change your mind, do not use the service, or cancel before the end of a billing period. Exceptions may apply to verified duplicate charges, payment errors, material service-delivery issues, or other circumstances where a refund or remedy is required by applicable law.

We may restrict or suspend access where reasonably necessary to address serious misuse, security risks, non-payment, or violations of these Terms, subject to applicable law.

7. Your Business Information

You retain ownership of the business information and content you submit to Nimbugrid, including your invoice records, customer details, and expense information.

You are responsible for ensuring that the information you enter is accurate and that you have the necessary rights and permissions to use any personal information you submit.

You should maintain appropriate backups of important business records and documents.

8. Tax and Legal Compliance

Nimbugrid provides software tools to assist with invoicing and business administration. We do not provide legal, accounting, or tax advice.

You are responsible for verifying invoice details, tax calculations, applicable tax rates, and compliance with the laws and invoicing requirements relevant to your business and location.

10. Service Availability

We make reasonable efforts to maintain the availability and security of Nimbugrid. However, we cannot guarantee uninterrupted or error-free service at all times.

We may perform maintenance, update features, or make changes to the platform where reasonably necessary. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

11. Intellectual Property

Nimbugrid's software, branding, website design, and other proprietary materials are owned by or licensed to the relevant rights holder.

Your account grants you permission to use the service in accordance with your subscription and these Terms. It does not transfer ownership of Nimbugrid's intellectual property to you.

12. Termination

You may stop using Nimbugrid and cancel your subscription in accordance with the applicable subscription terms.

We may suspend or terminate your access for material breaches of these Terms, unlawful activities, serious misuse, or other legitimate reasons, subject to applicable law.

The handling of your account information and business records following termination will be governed by our Privacy Policy and applicable legal requirements.

13. Limitation of Liability

To the extent permitted by applicable law, Nimbugrid is not responsible for indirect or consequential losses arising from the use of the service.

We do not guarantee particular business results or that every invoice, calculation, or document generated by the platform will satisfy every jurisdiction's requirements. You remain responsible for reviewing important business records before relying on them.

Nothing in these Terms excludes or limits liability or consumer rights that cannot legally be excluded or limited.

14. Governing Law

These Terms are governed by the laws of India, subject to mandatory consumer protection and other legal rights that may apply in your country or jurisdiction.

Any dispute will be handled by a court or other competent forum having jurisdiction under applicable law. Nothing in these Terms removes any non-waivable legal rights available to you.
